1. Agreement to Terms

By accessing or using RaceReviews ("the Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. We reserve the right to modify these Terms at any time, and your continued use of the Platform constitutes acceptance of any changes.

2. Description of Services

RaceReviews is a platform that allows users to discover, review, and discuss endurance races and race organizations, including running, cycling, and multisport events (triathlon, duathlon, aquabike, etc.). We provide:

• Information about endurance races and organizations
• A platform for users to post reviews, ratings, photos, and comments
• Tools to search, filter, and follow races and organizations
• Community features for athletes to connect and share experiences

3. User Accounts

3.1 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Keep your password secure and confidential
• Be at least 13 years of age (or the age of majority in your jurisdiction)
• Not create multiple accounts or share your account

3.2 Account Responsibility

You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms. You may delete your account at any time through your account settings.

4. User Content

4.1 Your Content

You retain ownership of content you post ("User Content"), including reviews, ratings, comments, photos, and other materials. By posting User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, display, and perform your User Content in connection with operating and promoting the Platform.

4.2 Content Standards

You agree that your User Content will not:

• Contain false, misleading, or fraudulent information
• Violate any laws or regulations
• Infringe on intellectual property rights of others
• Contain hate speech, harassment, threats, or discriminatory content
• Include personal information of others without consent
• Contain spam, advertising, or promotional content (unless authorized)

4.3 Content Moderation

When posting reviews, you agree to:

• Base reviews on your personal experience

• Focus on your experience rather than attacking individuals

5. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose
• Interfere with or disrupt the Platform or servers
• Attempt to gain unauthorized access to any part of the Platform
• Use automated systems (bots, scrapers) without permission
• Collect or harvest user information
• Reverse engineer, decompile, or disassemble any part of the Platform

• Manipulate reviews, ratings, or other metrics
• Create fake accounts or identities
• Harass, threaten, or abuse other users

6. Intellectual Property

6.1 Our Content

The Platform and its content (excluding User Content), including text, graphics, logos, designs, software, and other materials, are owned by or licensed to us and are protected by copyright, trademark, and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial purposes. This license does not include any right to reproduce, modify, or distribute our content.

6.3 Brand Assets

"RaceReviews" and our logo are our brand assets. You may not use our brand name or logo without our prior written permission.

7. Third-Party Content and Links

The Platform may contain links to third-party websites or services (such as race registration sites). We do not control or endorse these third-party sites and are not responsible for their content, privacy practices, or terms. Your use of third-party sites is at your own risk.

8. Disclaimers and Warranties

8.1 "As-Is" Basis

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

8.2 No Verification

We do not verify the accuracy of User Content, including reviews and race information. Reviews represent the personal opinions of users and do not reflect our views. Race information may be outdated or incorrect. Always verify race details with official race organizers.

8.3 No Affiliation

We are not affiliated with any races or organizations listed on the Platform unless explicitly stated. We do not organize, sponsor, or endorse any races.

8.4 No Guarantees

We do not guarantee that the Platform will be uninterrupted, secure, or error-free. We do not guarantee the quality, safety, or legality of any races or organizations listed.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED $100 OR THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS, WHICHEVER IS GREATER.

Some jurisdictions do not allow limitations on liability, so these limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless RaceReviews, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Platform
• Your User Content
• Your violation of these Terms
• Your violation of any rights of another party

11. DMCA Copyright Policy

We respect intellectual property rights. If you believe that your copyrighted work has been infringed, please notify us with:

• Identification of the copyrighted work
• Identification of the infringing material and its location
• Your contact information
• A statement that you have a good faith belief the use is unauthorized
• A statement under penalty of perjury that the information is accurate
• Your physical or electronic signature

12. Dispute Resolution

12.1 Informal Resolution

Before filing a claim, you agree to contact us to attempt to resolve the dispute informally.

12.2 Arbitration

Any dispute arising from these Terms or the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, rather than in court. You waive any right to a jury trial or to participate in a class action.

12.3 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Platform.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to conflict of law principles. Any legal action must be brought in the courts located in Utah.

14. General Provisions

14.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and us.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms at any time without notice.

14.5 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform. Your continued use after such changes constitutes acceptance of the modified Terms.
